   Companies with the following general parameters:
   • Historical and recurring revenues and profits
   • Capable management teams
   • Annual sales of $2 million to $100 million
   • Annual cash flow (EBIT/EBITDA) of $500,000 to $5,000,000
   • Operating margins at or above 10%

Transactions :
   Controlling interest investments for the following:
   • Ownership changes – retiring owners or partners
   • Management or employee buyouts
   • Leveraged recapitalizations
   • Consolidations

Investment size :
   We seek to invest in companies with enterprise values of
   between $1 million and $25 million and are able to participate in larger
   transactions in partnership with other private equity
   investment companies.

Geography :
   Prefer companies within Western States, but will consider any
   company with U.S. based headquarters
